Ricly is a Mac app that adds tools to your Finder right-click menu. Free works locally with limits. Pro unlocks everything for €4.99/mo. Founding Members get €3.99/mo locked forever, BUT cancelling means losing that rate permanently — re-subscription is at standard pricing. Lifetime Founders pay €99 once with a 30-day refund window; after that, it's final.

1. Definitions
"Ricly", "we", "us", "our" refer to Ricly, a commercial name (nom commercial) of Samir Benabdelmoumen, auto-entrepreneur (entreprise individuelle) registered in France (SIRET 889 343 687 00022), operating the Ricly macOS application and the website usericly.com.
"You", "your", "User" refer to any natural or legal person using Ricly.
"Service" means the Ricly application (macOS desktop app + Finder extension), the website, the Upload & Share feature, and any related cloud services.
"Subscription" means any paid plan (Pro, Pro+, Founding Monthly, Founding Lifetime, Family).
2. Acceptance & Eligibility
By downloading, installing, or using Ricly, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
You must be at least 16 years old to create an account (or the minimum age required to consent to data processing in your country under GDPR or equivalent law). By creating an account, you represent that you meet this requirement.
Ricly is intended for personal and professional use on a single Mac per user license. Family plans extend access to additional users on separate Macs per Section 4.4.
3. Your Account
3.1 Account creation. You create an account via email + password (Firebase Authentication) or third-party sign-in (Apple, Google). You are responsible for maintaining the confidentiality of your credentials.
3.2 Identity emails vs billing emails. Your Ricly account is tied to the email you used at sign-up. If you check out via Stripe Link or another payment service using a different email, both are stored but kept separate: your sign-up email is the source of truth for app identity and all transactional emails (welcome, support, account notifications). Your billing email is used only by Stripe for payment receipts.
3.3 One person per account. Accounts are personal. You may not share credentials or transfer your account. Family plans (Section 4.4) are the only sanctioned multi-user model.
3.4 Account deletion. You may request account deletion at any time by emailing hello@usericly.com. We will remove your personal data within 30 days, subject to legal retention requirements (Section 8 of the Privacy Policy).
4. Subscriptions & Pricing
4.1 Free tier. Ricly Free is available at no cost. Free includes most local conversion tools with monthly caps (e.g., 5 PDF compressions/month, 10 background removals/month). Caps reset on the first day of each calendar month.
4.2 Pro €4.99/month. Unlocks all modules without caps, plus Upload & Share (20 GB cloud, 30-day links). Billed monthly via Stripe. Renews automatically until cancelled.
4.3 Pro+ €9.99/month. Includes everything in Pro, plus 500 AI credits per month for AI-powered modules (background removal AI, image upscaling AI, etc.). Unused credits do not roll over. Top-ups available at extra cost.
4.4 Family plan. One paid Pro/Pro+ subscriber may invite up to 4 additional Mac users (the "Family Members") to share their Pro/Pro+ benefits. Invitations are sent via email and accepted via the Ricly app. The primary subscriber remains solely responsible for payment and compliance with these Terms. Family Members lose Pro access if the primary downgrades or cancels.
4.5 Currency & VAT. Prices are displayed in EUR for the EU and in USD for the United States and Canada, automatically detected by your location. Prices include any applicable VAT (TVA) for B2C customers in the EU, collected and remitted by Stripe Tax on our behalf. B2B customers in the EU may provide a valid VAT number for reverse-charge handling at checkout.
4.6 Price changes. We may change pricing for new subscribers at any time. Existing subscribers keep their current price for at least 12 months from any announced price change, and we will notify you by email at least 30 days before any change affects you.
5. Founding Member — Class of 2026
If you cancel a Founding subscription, you lose the Founder rate permanently. Re-subscription will be at standard Pro pricing (€4.99/mo) only. The Class of 2026 cohort is capped at 200 spots; once forfeited, the spot does not return to the pool.
5.1 Eligibility. The Founding Member tier is open to the first 200 paying subscribers of the Class of 2026 cohort, on a first-come-first-served basis. Subsequent cohorts (Class II, Class III) may open later at our discretion with different caps and pricing.
5.2 Founding Monthly — €3.99/month locked. Founding Monthly subscribers pay €3.99/month for as long as their subscription remains continuously active. This rate is locked and will not increase even when standard pricing changes. The 7-day free trial applies to first-time subscribers.
5.3 Founding Lifetime — €99 one-time. Founding Lifetime subscribers pay a single payment of €99 for lifetime access to Pro features. No recurring billing. Lifetime status is conditional on the 30-day refund window described in Section 5.6.
5.4 Founding Member benefits. All Founding Members receive: (a) locked or one-time pricing as described above; (b) the Founding Member badge displayed in the app; (c) priority on future tier launches — when new tiers ship (e.g., a Pro+++ tier), Founding Members keep proportional benefits and locked pricing where applicable.
5.5 Forfeit on cancellation (Monthly). If you cancel a Founding Monthly subscription, your Founder status and locked €3.99/mo rate are forfeited immediately and permanently. You may re-subscribe at any time at standard Pro pricing (€4.99/mo) without Founder benefits. The spot you held in the Class of 2026 cohort is not returned to the available pool; it is consumed permanently. This is by design to preserve the integrity of the cohort and reward continuous commitment.
5.6 Refund window (Lifetime). Founding Lifetime purchases include a 30-day refund window from the date of purchase. To request a refund within this period, email hello@usericly.com. After 30 days, Lifetime status is irrevocable: no refunds, no chargebacks accepted, and the spot is permanently consumed.
5.7 Courtesy reactivation. If you cancel a Founding subscription by mistake within 7 days of cancellation, we may, at our sole discretion and one time only per user, reactivate your Founder status. After 7 days, no reactivation is possible.
5.8 Cohort progression. Once the 200 spots of Class of 2026 are claimed, the cohort is closed. We reserve the right to open additional cohorts (Class II at 400 cap, Class III at 500 cap, etc.) at our sole discretion, with pricing and benefits that may differ from Class of 2026. Future cohort terms will be published on usericly.com/pricing.
6. Free Trial
New subscribers to Pro, Pro+, or Founding Monthly may receive a 7-day free trial. You will not be charged during the trial period. The trial converts automatically to a paid subscription at the end of the 7 days unless you cancel before. You can cancel at any time during the trial via Settings → Subscription in the app or via the Stripe Customer Portal link in your welcome email.
Free trials are limited to one per user across all paid tiers. Multiple accounts created to circumvent this restriction may be terminated without notice.
7. Cancellation & Termination
7.1 By you. You may cancel any subscription at any time via Settings → Subscription in the Ricly app, which opens the Stripe Customer Portal. Standard subscriptions cancel at the end of the current billing period; you retain access until then. Founding Monthly cancellations forfeit Founder status per Section 5.5.
7.2 By us. We may suspend or terminate your account at any time for: (a) violation of these Terms (including the Acceptable Use Policy in Section 9); (b) non-payment after dunning retries; (c) suspected fraud or chargebacks; (d) any other reason with 30 days' advance notice for paid users (immediate for Free).
7.3 Effect of termination. Upon termination, your access to paid features ceases. Your account data is retained for 30 days to allow reactivation, then deleted per the Privacy Policy. Files in Upload & Share expire on their existing schedule and are not preserved beyond their normal lifecycle.
8. Refunds
Refund terms are detailed in our Refund Policy. Summary:
- EU/EEA users have a 14-day right of withdrawal from the date of first paid subscription, subject to the EU Directive 2011/83/EU exception for digital services where access has begun.
- Standard Pro/Pro+ monthly: prorated refunds available within the 14-day withdrawal window only.
- Founding Lifetime: 30-day refund window then irrevocable per Section 5.6.
- AI credits (Pro+): non-refundable once consumed.
9. Acceptable Use
You agree NOT to use Ricly to:
- Process, store, share, or distribute content that is illegal, infringing, defamatory, obscene, harassing, or that violates the rights of any third party.
- Distribute malware, viruses, or any code designed to disrupt or damage software, hardware, or networks.
- Reverse-engineer, decompile, disassemble, or attempt to extract source code from the Ricly application, except as permitted by applicable law.
- Resell, redistribute, or sublicense the Ricly application or any subscription benefits without our prior written permission.
- Use the Service in any way that could harm minors or violate child safety laws.
- Bypass usage caps, rate limits, or paywalls through technical means (multiple accounts, automation, etc.).
- Attempt to gain unauthorized access to our infrastructure, databases, or other users' accounts.
Violations may result in immediate account termination without refund, and we reserve the right to report illegal activity to competent authorities.
10. Your Content & Upload & Share
10.1 You own your content. Files you process locally with Ricly modules (conversion, compression, etc.) never leave your Mac unless you explicitly use Upload & Share. You retain all rights to your files.
10.2 License to host shared files. When you upload a file via Upload & Share, you grant us a limited, non-exclusive license to store, encrypt, and serve that file to anyone with the shareable link, for the duration of the link's active period. This license terminates automatically when the link expires or you revoke it.
10.3 Your responsibility. You are solely responsible for the legality and appropriateness of files you upload and share. You represent that you have all necessary rights to upload and distribute the content. We do not pre-screen content but reserve the right to remove or disable access to any file in response to a valid legal complaint or violation of Section 9.
10.4 DMCA / Copyright notices. If you believe your copyrighted work has been uploaded without authorization, send a takedown notice per our DMCA Policy.
11. AI Features (Pro+ Credits)
Pro+ includes monthly AI credits for AI-powered modules. Credits are consumed per operation (e.g., 1 credit per background removal AI run). Credit costs per operation are displayed in-app and may change with 30 days' notice.
Unused credits expire at the end of each billing month and do not carry over. Top-up credits (purchased separately) are non-refundable and expire 12 months from purchase.
When using AI features, your input data (images, audio, etc.) is sent to third-party AI providers (Anthropic, OpenAI, Replicate, fal.ai, etc.) for processing. See the Privacy Policy for details on which providers receive which data. You retain ownership of any AI-generated output, subject to the providers' own terms.
12. Intellectual Property
Ricly, the Ricly logo, all module names, the website design, and all related materials are the exclusive property of Ricly. Subscriptions grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal or professional use on your own Mac(s). No other rights are granted.
13. Service Availability
13.1 Local features. Modules that run locally on your Mac (conversion, compression, OCR, etc.) work entirely offline once installed. They remain available regardless of our server status.
13.2 Cloud features. Upload & Share, account sync, and AI modules require an internet connection and our cloud infrastructure. We target 99.9% uptime for these features but do not provide a formal Service Level Agreement (SLA) at this time. In the event of extended downtime affecting paid features, we may, at our discretion, offer service credits or partial refunds.
13.3 No guarantee of feature availability. We may add, modify, or discontinue features at any time. Material changes affecting paid tiers will be communicated 30 days in advance.
14. Limitation of Liability
14.1 As-is service. Ricly is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
14.2 Data loss. You are responsible for maintaining backups of your files. We are not liable for loss or corruption of files processed, uploaded, or shared via Ricly. Always keep independent backups of important files.
14.3 Liability cap. To the maximum extent permitted by applicable law, our total liability for any claim arising from or related to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) €100. This limitation does not apply to liability that cannot be limited under applicable law (e.g., personal injury, gross negligence, willful misconduct, or statutory rights of EU consumers).
14.4 Indirect damages. In no event shall we be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost data, or business interruption.
15. Indemnification
You agree to defend, indemnify, and hold harmless Ricly, its operator (Samir Benabdelmoumen, EI), its affiliates and partners from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property; (d) content you upload or share via the Service.
16. Modifications to These Terms
We may update these Terms from time to time. Material changes will be notified to active users by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree, you may cancel your subscription before the effective date and the previous Terms will continue to govern your past use.
Non-material changes (typos, formatting, clarifications) may take effect immediately upon publication.
17. Governing Law & Disputes
17.1 Governing law. These Terms are governed by the laws of France, without regard to conflict of law principles. This does not deprive EU consumers of the protections afforded by mandatory provisions of the law of their country of residence.
17.2 Disputes. Any dispute arising from or related to these Terms shall be resolved as follows:
- Step 1 — Direct contact. Email hello@usericly.com with a clear description of the dispute. We commit to respond within 14 days and to seek an amicable resolution.
- Step 2 — Mediation. If direct contact fails, EU consumers may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr. French consumers may also contact a mediator listed on the official list of consumer mediators at economie.gouv.fr/mediation-conso.
- Step 3 — Jurisdiction. Failing amicable resolution, the courts of the founder's domicile (Tribunal Judiciaire de Toulon, Var, France) shall have exclusive jurisdiction, subject to the rights of EU consumers to bring proceedings in the courts of their place of residence per EU Regulation 1215/2012.
